AIxC, trading on Nasdaq under the ticker FFR, has entered into a non-binding term sheet to acquire the robotics assets and business operations of Faraday Future Intelligent Electric Inc. (FFAI) in an all-stock transaction valued at approximately $200 million, the companies announced.
If completed, the deal would position FFR as the first pure-play robotics ecosystem company listed on the Nasdaq, a distinction the companies say could attract institutional investor interest focused on the rapidly expanding robotics and artificial intelligence sectors.

As part of the proposed transaction structure, existing FFAI stockholders stand to receive a potential special stock dividend valued at $2.246 per share, a feature the companies describe as providing a direct financial benefit to current shareholders ahead of or concurrent with the close of any deal.
The agreement remains non-binding, meaning both parties must still negotiate and execute definitive documentation before any transaction is finalized. Regulatory review and shareholder approvals would also be required milestones before the acquisition could close. No timeline for completion was specified in the announcement.
